Welcome to www.lifespan.com (the “Site” or “Lifespan”). The website www.lifespan.com is owned and operated by Lifespan Wellness Pvt. Ltd., a company incorporated under the provisions of the Companies Act, 2013 with its registered office at Lifespan Hub, Plot no 4, Survey No 91, Behind Care hospital, Gachibowli (V), Serilingampally (M), Rangareddy District, Telangana, India – 500032. Lifespan, along with its online platform and offline operations (if any), is together referred to as the “Platform.”

You may be accessing our Site from a computer or a mobile device (through iOS or Android applications, for example). These Terms of Use govern your access to and use of the Site, as well as your conduct, regardless of the means of access.

These Terms of Use govern all the nutrition, wellness, and healthcare products, as well as any interactive services (“Services”) offered on the Platform.

The Platform is intended solely for your personal, non-commercial use and information. Your use of the services and features of the Platform shall be governed by these Terms & Conditions (hereinafter “Terms of Use”) along with the Privacy Policy, Shipping Policy, and Cancellation, Refund & Return Policy (together referred to as “Policies”), as modified and updated from time to time.

By merely accessing or using the Platform, you acknowledge and agree, without limitation or qualification, to be bound by these Terms of Use and the Policies, whether you have read them or not. ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR UNCONDITIONAL AGREEMENT TO THESE TERMS. If you do not agree to any of the terms mentioned herein, please refrain from using the Platform.

Lifespan reserves the right, at its sole discretion, to modify, amend, or update these Terms of Use or the Policies at any time without prior notice to its users. This Site is intended to be used by adults only. We assume that any minor accessing our Site is doing so under the supervision of a parent or legal guardian. Lifespan does not knowingly collect personal information from minors.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for restricting access to your computer or device. If we discover or suspect a breach of your account, Lifespan reserves the right to require you to reset your password, suspend your account temporarily, or terminate your account permanently, without any liability to you.

We also reserve the right to refuse service, suspend, or terminate accounts without prior notice if these Terms of Use are violated, or if such action is deemed necessary in the best interests of Lifespan.

All information you provide to us will be maintained in accordance with our Privacy Policy.

Product & Services Information

Lifespan strives to ensure that the product descriptions, nutritional details, ingredient lists, and other information provided on the Platform are as accurate as possible. However, Lifespan does not warrant that product descriptions, colours, packaging, or any other content available on the Platform are accurate, complete, reliable, current, or error-free.

The Platform may contain typographical errors, inaccuracies, or omissions, and certain product information may not always reflect the most recent updates. Product images displayed on the Site are for illustrative purposes only and may differ slightly from the actual product delivered.

Pricing Information

Lifespan makes every effort to provide accurate product and pricing details on the Platform. However, errors may occasionally occur. Lifespan cannot confirm the final price of a product until your order has been placed.

Without limiting the generality of Clause 8 (Cancellations, Refunds, and Returns) below, if a product is listed at an incorrect price or with incorrect information due to a technical or human error, Lifespan reserves the right, at its sole discretion, to refuse or cancel any orders placed for that product unless it has already been delivered to you.

In the event of an incorrect price:

1. Lifespan may, at its discretion, either contact you for confirmation and further instructions or cancel your order and notify you of such cancellation.
2. Unless the product ordered by you has been delivered, your order shall not be deemed accepted.
3. Lifespan reserves the right to modify the price of the product and will contact you for confirmation before proceeding, or alternatively cancel the order and inform you of the same.

If Lifespan accepts your order, the amount will be charged to your credit/debit card, UPI, net banking, or other chosen payment method, and you will be notified by email once the payment has been processed. Payment may be processed prior to dispatch of your order. If the order is cancelled after payment processing, the amount will be refunded to your original payment method.

PRICES AND AVAILABILITY OF PRODUCTS AND SERVICES ON THE PLATFORM ARE SUBJECT TO CHANGE AT ANY TIME WITHOUT PRIOR NOTICE AND AT THE SOLE DISCRETION OF LIFESPAN. Lifespan may revise or discontinue any product or service at any time.

In the event Lifespan is unable to deliver your order on time or at all, you will be informed via email or phone, and your order will either be automatically cancelled due to unavailability or cancelled at your request. In such cases, any prepaid amount will be refunded, but Lifespan shall not be liable for any indirect damages, losses, or claims arising from order cancellations or delivery delays.

Cancellations, Refunds, and Returns

Please refer to our detailed Cancellation, Refunds, and Returns Policy available on the Platform.

For health and safety reasons, opened or used nutrition and supplement products are not eligible for return or refund. Exceptions may be made only in cases of:

1. Products received in a damaged or defective condition,
2. Products past their expiry date at the time of delivery, or
3. Incorrect product delivered.

All such requests will be reviewed and must comply with the conditions stated in our Cancellation, Refunds, and Returns Policy.

Mode of Payment

Payments for purchases made on the Platform may be completed using the following methods:

1. Credit Cards, Debit Cards, Net Banking, UPI, Wallets, and other approved digital payment options.
2. Instant payment methods (Credit Card, Debit Card, Net Banking, UPI, etc.) are recommended for faster order confirmation and processing.
3. Cash on Delivery (COD) is available for select pin codes within India on orders above INR 249.
4. Currently, we do not support international shipping or payments.

Shipping and Delivery

Delivery timelines are indicative and may vary due to factors beyond our control, including courier delays, unforeseen circumstances, or force majeure events. Customers will be notified in case of significant delays.

Pollution Control Compliance

Lifespan is committed to sustainable business practices and is working towards compliance with the guidelines laid down by the Central Pollution Control Board (CPCB) and other applicable environmental regulations. We continuously strive to adopt eco-friendly measures in packaging, shipping, and product handling in line with government norms.

Chat/Call Functionality

The Chat/Call functionality on the Platform is provided to assist you with any queries related to our products, services, orders, or the Site. Use of this service shall be subject to the following conditions:

1. Lifespan may suspend or discontinue the Chat/Call service at any time without prior notice.
2. Lifespan or its representatives shall not be responsible for any delay in attending to or replying to your queries via Chat/Call.
3. All communications made through Chat/Call may be recorded or stored by Lifespan for quality and training purposes. Users of this service will not have the right to access such information at a later date.
4. While using Chat/Call, you must not communicate objectionable content, including unlawful, threatening, abusive, defamatory, obscene, or otherwise inappropriate information.
5. The Chat/Call service shall not be used for selling products, business solicitations, or providing suggestions on commercial opportunities.
6. By using the Chat/Call service, you agree to the above conditions and consent to communication from Lifespan, its group companies, and business associates via call, SMS, chat, and email regarding your orders, product updates, or related services.

User Content

Any information, photographs, images, chat communications, text, software, data, music, sound, graphics, messages, videos, reviews, feedback, or other materials that you transmit, upload, post, email, or otherwise make available on the Platform (“User Content”) are entirely your responsibility. Lifespan shall not be held responsible, in any manner whatsoever, in connection with User Content posted by you or any other users.

You agree not to encourage, assist, or engage yourself or others in transmitting, hosting, displaying, uploading, publishing, updating, or sharing any content that:

1. Belongs to another person without the necessary rights or authorization;
2. Is grossly harmful, harassing, defamatory, obscene, pornographic, paedophilic, libelous, invasive of another’s privacy, hateful, racially or ethnically objectionable, disparaging, unlawful, or otherwise inappropriate;
3. Harms minors in any way;
4. Infringes any patent, trademark, copyright, or proprietary rights of others;
5. Violates any applicable law in force;
6. Deceives or misleads recipients about the origin of such messages or contains information that is offensive, menacing, or misleading;
7. Impersonates another person;
8. Contains viruses, malware, or other harmful code intended to disrupt, destroy, or limit the functionality of any system, software, or device;
9. Threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, public order, or incites the commission of a cognizable offence;
10. Is insulting to any nation or promotes unlawful activity.

Lifespan is not responsible for examining or verifying User Content, nor does it endorse or control User Content posted by users. The accuracy, integrity, and quality of such User Content are not guaranteed. By using the Platform, you acknowledge that you may be exposed to content that you find offensive, indecent, or objectionable, and under no circumstances shall Lifespan be liable for any User Content, including but not limited to errors, omissions, or losses arising from its use.

You hereby waive all rights to claims against Lifespan for any alleged or actual infringements of intellectual property, privacy, publicity, or moral rights in connection with User Content.

Lifespan reserves the right (but not the obligation), at its sole discretion, to refuse, remove, edit, or delete any User Content that violates these Terms & Conditions or is otherwise objectionable. We also reserve the right to refuse service and/or terminate accounts without prior notice if users violate these Terms & Conditions or infringe upon the rights of others.

If you wish to delete your User Content from our Site or mobile applications, please contact us at support@lifespan.com with the following details:

1. Your first and last name,
2. Username/screen name (if applicable),
3. Email address associated with your account,
4. Reason for deletion,
5. Date(s) and description of the content you wish to delete.

We may not be able to process your request if sufficient information is not provided. Please allow up to 30 business days for us to review and process your request.

Intellectual Property Rights

The name “Lifespan”, its logo, product names, service names, design marks, slogans, and all related branding are the trademarks, logos, or service marks (collectively referred to as “Marks”) of Lifespan Wellness Pvt. Ltd. All other Marks displayed on the Platform are the property of their respective owners. Nothing contained on this Platform shall be construed as granting any license or right to use any Marks without the prior written permission of the rightful owner. Any unauthorized use of the Marks is strictly prohibited, and Lifespan shall not be liable in any manner for such misuse.

Lifespan, along with its suppliers and licensors, expressly reserves all intellectual property rights in the text, graphics, programs, processes, technology, content, software, product formulations, designs, and all other materials that appear on this Platform, including its overall look and feel. The compilation, arrangement, and assembly of all content on the Platform is the exclusive property of Lifespan, protected under Indian copyright laws and applicable international treaties.

The materials on this Platform, including but not limited to images, text, illustrations, designs, icons, photographs, videos, product descriptions, downloads, and other content (collectively, the “Contents”), are made available solely for your personal, non-commercial use. You may download or copy the Contents only for such use, provided you do not modify, reproduce, republish, distribute, transmit, display, or otherwise exploit them for commercial purposes.

No right, title, or interest in any downloaded material, software, or content is transferred to you as a result of any such use. This Platform and its contents are provided to you “AS IS” and “AS AVAILABLE” without any representations, guarantees, or warranties of any kind, whether express or implied. Lifespan does not make any representations regarding the accuracy, completeness, reliability, or usefulness of the content, products, or services provided on the Platform.

Aggregate Liability Cap

In no event shall the aggregate liability of Lifespan, its affiliates, partners, or licensors, whether in contract, tort (including negligence), or otherwise, exceed the total amount paid by you (if any) for products or services purchased through the Platform.

Claims and Disputes

1. Any claim or cause of action arising from your use of the Platform must be initiated within one (1) year from the date the claim arose.
2. If you are dissatisfied with the Platform, your sole and exclusive remedy is to discontinue use.

Termination

These Terms of Use shall remain in effect unless and until terminated by either you or Lifespan.

1. Your Right to Terminate: You may terminate these Terms of Use at any time by discontinuing further use of the Platform.
2. Our Right to Terminate: Lifespan reserves the right, at its sole discretion, to terminate or suspend these Terms of Use, your account, or access to the Platform at any time, without prior notice, and without liability of any kind.

Upon termination, you must immediately cease all use of the Platform and promptly delete or destroy any materials downloaded or obtained from the Platform, including any copies thereof, whether made under these Terms of Use or otherwise.

Termination of these Terms of Use shall not affect:

1. Your obligation to pay for any products already ordered prior to termination, and
2. Any liabilities, rights, or obligations that have arisen prior to termination.

Indemnity

You agree to defend, indemnify, and hold harmless Lifespan (Product), its parent company, subsidiaries, affiliates, directors, officers, employees, agents, licensors, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

1. Your use of the Platform, including any misuse or unauthorized activity;
2. Any breach of these Terms of Use, including your representations, warranties, or obligations;
3. Violation of any applicable law, regulation, or third-party rights (including but not limited to intellectual property, privacy, or publicity rights);
4. Any loss or damage caused to Lifespan, its users, or third parties due to your actions or inactions.

This indemnity obligation will survive the expiration or termination of these Terms of Use and your use of the Platform.

Governing Law and Jurisdiction

These Terms of Use and all related Policies shall be governed by and construed in accordance with the laws of India. The Courts at Hyderabad (or your preferred city of registration, replace if needed) shall have exclusive jurisdiction in respect of any proceedings arising out of or relating to these Terms.

Any dispute, controversy, or difference in interpretation of these Terms of Use or any related Policies shall be referred to a sole, independent arbitrator mutually appointed by the parties. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be Hyderabad, India. The decision of the arbitrator shall be final and binding on both parties.

Notwithstanding the foregoing, Lifespan (Product) reserves the right to seek and obtain injunctive, provisional, or interim relief from any court of competent jurisdiction to protect its trademarks, intellectual property rights, confidential information, or to preserve the status quo pending arbitration.

For disputes relating to international orders, the International Arbitration Rules under the Indian Arbitration and Conciliation Act, 1996 shall apply, and the seat and venue of such arbitration shall also be Hyderabad, India.

Site Security

You are strictly prohibited from violating or attempting to violate the security of the Site, including but not limited to:

1. Accessing data not intended for you, or logging into a server or account which you are not authorized to access.
2. Attempting to probe, scan, or test the vulnerability of any system or network, or attempting to breach security or authentication measures without proper authorization.
3. Interfering with or attempting to interfere with service to any other user, host, or network, including, without limitation, by submitting a virus, overloading, “flooding,” “spamming,” “mail bombing,” or “crashing” the Site.
4. Sending unsolicited emails, including promotions and/or advertising of products or services.
5. Forging headers or otherwise manipulating identifiers in order to disguise the origin of any message or communication sent to the Site.

Violations of system or network security may result in civil or criminal liability. Product (Lifespan) reserves the right to investigate such occurrences and will fully cooperate with law enforcement authorities in prosecuting users involved in such violations.

You further agree not to use any device, software, routine, or other mechanism to interfere or attempt to interfere with the proper functioning of this Site, or with any activity being conducted on it. You also agree not to use or attempt to use any engine, software, tool, agent, or other device or mechanism (including, but not limited to, browsers, spiders, robots, avatars, or intelligent agents) to navigate or search the Site, except for the search engines and search agents available from Product (Lifespan) or generally available third-party web browsers (e.g., Google Chrome, Microsoft Edge, Mozilla Firefox).

Entire Agreement

If any provision of these Terms of Use is found to be invalid or unenforceable under applicable law, including but not limited to the warranty disclaimers and liability limitations stated above, such provision shall be replaced with a valid, enforceable provision that most closely reflects the intent of the original. The remaining provisions of these Terms of Use shall continue in full force and effect.

Unless expressly stated otherwise, these Terms of Use constitute the entire agreement between you and Product (Lifespan) with respect to the Site and its services, and they supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

The failure of Product (Lifespan) to enforce any right or provision under these Terms of Use shall not constitute a waiver of such right or provision, nor of any future right to enforce the same or any other provision.

General

You acknowledge and agree that these Terms and Conditions constitute the complete and exclusive agreement between you and Product (Lifespan) regarding your use of the Site, and supersede all prior proposals, agreements, or communications.

We reserve the right, at our sole discretion, to change, alter, or modify these Terms and Conditions at any time by posting the revised version on the Site. Any changes will become effective immediately upon posting. Your continued use of the Site after such posting constitutes your acceptance of the modified Terms and Conditions.

We may, with or without prior notice, terminate any of the rights granted under these Terms and Conditions. Upon such termination, you shall immediately comply with any notice provided, including ceasing all use of the Site.

Nothing in these Terms and Conditions shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise between you and Product (Lifespan).
